CORPORATE GOVERNANCE AND NOMINATING COMMITTEE
Headed by Eric Moatse
The Corporate Governance and Nominating Committee is constituted as a committee of the board of directors of Mogale City Youth Chamber of Commerce and Industry. The duties and responsibilities of the members of the Committee are in addition to those that they bear as members of the Board. The overall purpose of the Committee is to assist the Board in carrying out its responsibilities with respect to develop and recommend to the Board a set of corporate governance principles applicable to the Company and, thereafter, to monitor and update the Board on developments which may impact on the corporate governance principles.
AUDIT AND RISK COMMITTEE
Headed by Bouyson Masobe
The Audit and Risk Committee is constituted as a committee of the Board of directors of Mogale City Youth Chamber of Commerce and Industry NPC. The duties and responsibilities of the members of the Committee are in addition to those that they bear as members of the Board. These terms of reference set out the Committee’s role and responsibilities as well as the requirements for its composition and meeting procedures. The overall purpose of the Committee is to assist the Board in discharging its duties relating to the oversight of risk management, control and governance and to ensure the integrity of the financial statements of the Company.
HUMAN RESOURCES AND REMUNERATION COMMITTEE
Headed by Kutlwano Mereyotlhe
The Human Resources and Remuneration Committee is constituted as a committee of the Board of directors of Mogale City Youth Chamber of Commerce and Industry NPC. The duties and responsibilities of the members of the Committee are in addition to those that they bear as members of the Board. The overall purpose of the Committee is to assist the Board to determine the terms of employment of the Chief Executive Officer (“CEO”) and other non-executive and executive directors, and other members of senior management and to recruit, appoint and train employees of the Company from time to time, as necessary; determine specific remuneration packages for executive directors of the Company including but not limited to basic salary, benefits in kind, any annual of the terms of reference bonuses, performance base incentives, share incentives, pension and other benefits.
